InvestmentPitch, a leading producer and distributer of specialized video content for the investment community, operates the financial website platform www.InvestmentPitch.com, which contains one of the largest libraries of video content for publicly traded companies. The securities regulatory authorities of six Canadian provinces recently approved a new start-up crowdfunding exemption that allows start-up and early stage companies to more easily raise capital.

It allows you to invest in new business ventures that in the past could only accept funds from accredited investors, meaning the less than 5% of the population that met certain significant income or asset requirements.

This is also a benefit for early stage companies as they can avoid the costly legal and accounting fees generally involved in fundraising, thereby putting more of the funds raised directly into the business.

If a company has its head office in British Columbia, Saskatchewan, Manitoba, Quebec, New Brunswick and Nova Scotia it may qualify to raise funds under this new exemption.

As we are located in Vancouver, we are planning to be one of the first companies to take advantage of this new exemption.

There are only a few companies currently licensed as funding portals to raise funds under these new regulations, and we have found the professionals at SeedUps Canada to be excellent to work with.

Each participant files a very detailed offering document about the company, including the intended uses of the funds raised.

In our case, we are raising funds at $0.05, with some of the funds to be allocated towards preparing a prospectus to raise funds at $0.10 and applying to list on an exchange in Canada.

I use the term “small” because each investor is limited to only $1,500 per distribution.

Let’s look at a few of the other regulations.

Each company cannot raise more than $250,000 per distribution, and is limited to two start-up crowdfunding distributions in a calendar year

The distribution is only open for a maximum of 90 days, and closes once the target is reached.

If the minimum stated amount to be raised is not reached, your funds are returned to you.

You also have the right to withdraw your offer to purchase securities within 48 hours or if you receive notification that the offering document has been amended.
